Valuation

Highly substantiated valuations, with great attention to people, process and content, based on specialist knowledge and in-depth research.

Specialist knowledge and in-depth research

Determining the value of a business requires specialist knowledge. The economic value is related to future expectations and risks and must be properly weighed and methodically translated into value amount or value range. There are a variety of reasons to determine the value of a company, but there is always a common denominator: accuracy is crucial. Our team of specialists and registered valuators provide highly substantiated valuations, with great attention to people, processes, and content, including highly complex situations.

An accurate valuation from Joanknecht provides the basis for a productive conversation.

Valuation in acquisitions

In an acquisition process, both the seller and the buyer have a perception of the value of the business. Agreements about the price are made at the beginning of an acquisition process. We frequently carry out valuations that can serve as a frame of reference and as a basis for price negotiations

Valuation and taxation

The Tax Authorities closely scrutinize entrepreneurs who transfer their business, whether in part or in full, to their children, other family members, or employees, or if, for example, intellectual property is restructured within the company. In such scenarios, the typical market dynamics that govern transactions between unrelated parties do not apply. Consequently, tax authorities seek to ascertain the existence of commercial terms and, subsequently, establish a potential basis for taxation.

Our role is to compile comprehensive valuation reports that provide a well-founded rationale for the agreed-upon price when presenting it to the Tax Authorities. Furthermore, we offer expert support to our clients during negotiations with the Tax Authorities, ensuring that they navigate this complex process  effectively.

Valuation in the event of conflicts of interest and disputes

Business partnerships can encounter challenges when shareholders, partners, or spouses no longer wish to continue, in cases of serious illness or death, bankruptcy risk, or court mandates. In these complex situations, we provide valuations to reach the best possible solution. With our extensive expertise, we serve as impartial experts, whether as party-appointed experts, binding advisors, or acting on behalf of the courts.

Through a meticulous process that takes into account the legal framework, we diligently work toward achieving a fair and equitable resolution, even in the most challenging situations. Our aim is to facilitate contributions from all parties involved, enabling them to either continue their ventures or find an appropriate path forward.

Valuation for annual financial statements

Value determinations are also reflected in annual accounts. For example, in the form of the valuation of participating interests and the implementation of impairment analyses and calculations, in the valuation of financial instruments at fair value, and in the allocation of acquisition purchase prices through purchase price allocation. We have a lot of experience in preparing this type of report, and we also know well which aspects are important for the auditor of the annual accounts.
